Introduction

Andromeda Cluster, Inc. and its affiliates (“Andromeda,” “we,” “us,” or “our”) operates a global GPU compute marketplace platform (the “Platform”) connecting AI teams and enterprises seeking high-performance compute resources (“Customers”) with infrastructure providers offering such resources (“Providers”). This Privacy Policy governs Andromeda’s collection, processing, and use of information from individuals who visit our websites, use our applications, or interact with our Platform and related services (collectively, the “Services”). The Services are intended for business use, not for individual consumer use.

By using any of our Services, you agree and consent to the terms of this Privacy Policy. If you do not agree, you must immediately cease all use of our Services.

What Information Does Andromeda Collect?

Identity, Contact, and Account Information - We collect information you provide directly, such as your name, company name, job title, email address, phone number, credentials, feedback, and records of your communications with us.

Platform Data - When using the Platform as a Customer, we collect information about your compute requirements, including GPU type, quantity, desired start date, and duration. When using the Platform as a Provider, we collect information about your infrastructure, including GPU type and quantity, pricing, networking specifications, node configuration, storage capacity, geographic location, cloud service provider affiliation, cluster interface type, and scheduling and availability parameters. We also collect financial and billing information necessary to process transactions.

Technical and Analytics Information - We automatically collect certain technical information about devices used to access the Services, including IP address, browser type, operating system, referring pages, and date and time stamps. The Platform uses cookies and similar technologies for session management, authentication, and core functionality. Our marketing websites use Vercel Web Analytics, which does not use cookies and stores only anonymized data. Vercel Web Analytics may collect aggregate signals such as approximate geographic location, operating system, and browser type, and cannot be used to identify you as an individual.

Andromeda does not sell personal information and does not use personal information to train third-party artificial intelligence models except as expressly agreed in writing. Andromeda may create de-identified or aggregated data and use it to operate, maintain, and improve its services. Once de-identified, such data is not subject to this Privacy Policy.

How Does Andromeda Use Information Collected From You?

Service Provision, Operations, and Improvement - We use information to provide, operate, maintain, and improve the Platform; match Customers with Providers; process transactions; manage accounts; provide customer support; and develop new products and features.

Marketing and Communications - We may use your contact information to market and promote our Services and send administrative notifications. You may opt out of marketing communications at any time as described below.

Billing and Fraud Prevention - We use financial and technical information to process payments, monitor for fraud, and enforce our terms of service.

Legal Compliance - We use information as necessary to comply with applicable laws, regulations, legal processes, and governmental requests, and to protect the rights, property, or safety of Andromeda, our users, or others.

Advertising - We work with third-party partners to measure site traffic, display targeted advertisements, and evaluate advertising performance. These activities apply only to our marketing websites and do not extend to the Platform.

How We Share Information

We may disclose information we collect to:

Service Providers and Contractors - Third-party service providers performing services on our behalf, such as cloud hosting, payment processing, analytics, and customer communications, who are required to handle information in accordance with our instructions and applicable data protection obligations.

Platform Counterparties - Provider infrastructure information may be shared with Customers, and vice versa, to the extent necessary to facilitate transactions on the Platform.

Analytics Partners - We use Vercel Web Analytics, which processes only anonymized, cookie-free data. We do not share personally identifiable information with analytics providers in connection with website analytics.

Legal and Regulatory Requirements - Third parties as required by applicable law, to comply with legal process, or to protect the rights, property, or safety of Andromeda, our users, or others.

Business Transactions - Potential acquirers or successors in connection with any proposed or actual merger, acquisition, or sale of assets. In such an event, you will be notified of any change in ownership or uses of your information.

With Your Consent - Third parties in other circumstances with your explicit consent.

Andromeda requires its subprocessors and service providers to process personal information pursuant to written agreements that include appropriate data protection and security obligations.

Controller and Processor Distinction

For personal information that Customers or Providers upload to or generate within the Platform, the uploading party is generally the data controller and Andromeda acts as the data processor. Andromeda is the data controller for information it collects directly in connection with your use of the Services and websites. Where Andromeda is the processor, requests relating to data subject rights should be directed to the applicable data controller.

For Customers and Providers subject to the GDPR or UK GDPR, a Data Processing Agreement (“DPA”) governing Andromeda’s processing activities as a data processor is available upon request and may be incorporated into your agreement with Andromeda. Cookies

The Platform uses cookies and similar technologies for session management, authentication, and core product functionality. These cookies are necessary for the Platform to operate and cannot be disabled without impairing your use of the Services. Our marketing websites do not use cookies for analytics purposes; we use Vercel Web Analytics, which is cookie-free. We may update our cookie practices over time and will reflect any material changes in this Privacy Policy.

If our marketing websites use any non-essential cookies (for example, for advertising or personalization), we will seek your consent prior to setting those cookies where required by applicable law.

Opting Out

Marketing Communications - You may opt out of marketing emails by clicking the “unsubscribe” link in any marketing email or by contacting us using the information in the Contact Us section below. You may still receive transactional and operational communications related to your account.

Location Tracking - You may limit the collection of approximate location data by adjusting your browser or device settings.

Interest-Based Advertising - You may opt out of interest-based advertising through the following platforms:

“Do Not Track” Signals - The Services do not currently respond to “Do Not Track” signals from browsers.

Data Subject Rights

Depending on your jurisdiction, you may have rights under applicable data protection laws, including the right to access, correct, delete, port, or restrict processing of your personal information, and the right to object to certain processing. We will respond to verifiable requests within the timeframes required by applicable law (generally 30 days under GDPR and 45 days under CCPA, with extensions permitted in certain circumstances). We may require verification of your identity before processing your request.

EEA Residents - Andromeda’s legal bases for processing include the performance of a contract, compliance with legal obligations, legitimate business interests, and, where applicable, your consent. You have the right to lodge a complaint with a relevant supervisory authority in your jurisdiction.

UK Residents - If you are located in the United Kingdom, you have rights equivalent to those described in the EEA section above under the UK GDPR and the Data Protection Act 2018. You have the right to lodge a complaint with the Information Commissioner’s Office (ICO).

California Residents - You have the right to know, access, correct, and request deletion of your personal information, and to opt out of cross-contextual behavioral advertising. Andromeda does not sell personal information. You or your authorized agent may submit a request on your behalf by contacting us using the information in the Contact Us section below.

Nevada Residents - Nevada residents may opt out of the future sale of their personal information by contacting us using the information in the Contact Us section below.

Data Retention

Andromeda retains personal information for as long as there is a legitimate business need or legal obligation to do so. When no such need exists, we will delete or anonymize the information, or securely isolate it pending deletion. Provider and Customer platform data will be retained as long as necessary to operate the Platform, fulfill contractual obligations, and comply with applicable law.

International Transfers

Andromeda may process personal information in the United States and other jurisdictions where we or our service providers operate. Where required by applicable law, we implement appropriate safeguards for cross-border transfers, such as Standard Contractual Clauses or participation in recognized data transfer frameworks.

Third-Party Links

The Services may contain links to third-party websites or services. Andromeda is not responsible for the privacy practices of those third parties, and we encourage you to review their privacy policies before providing any information.

Children’s Privacy

The Services are not directed to individuals under the age of 13. We do not knowingly collect personal information from children under 13. If we obtain actual knowledge that a user is under thirteen, we will promptly delete such information. If a parent or guardian believes their child has provided us with personal information, they should contact us using the information in the Contact Us section below.

Security

Andromeda maintains a security program designed to protect the Platform and the information entrusted to us, incorporating industry-standard technologies, access controls, encryption in transit and at rest, and ongoing monitoring. No online platform can guarantee absolute security. If you suspect unauthorized access to your account or information, please notify us using the information in the Contact Us section below.

Changes to This Privacy Policy

We may update this Privacy Policy periodically. For material changes, we will notify you through the Services or by email prior to the change taking effect and will post the updated policy with a revised “Last Revised” date.
